General Terms Of Services

The following general terms of services, together with any additional terms and policies (collectively referred to as the “terms of services,” “terms,” “ToS,” or “agreement”), constitute the complete legal agreement between you (“you” or “client”) and Elite Server LLC, a Ukrainian company, regarding your use of our website (https://eliteserverhost) including all its subdomains, additional top-level domains, and any products, services, or information provided by Elite Server LLC ("Elite server,” “we,” “us,” or “our”).
Before purchasing any service from us, you must confirm that you have read, understood, and agreed to these terms of services.
This agreement qualifies as a public agreement under Article 633 of the Civil Code of Ukraine and carries full legal force accordingly. In accordance with Article 642 of the Civil Code of Ukraine, full and unconditional acceptance of this public agreement is confirmed by your payment for any service listed on the (https://eliteserverhost) website, as evidenced by the receipt of a corresponding financial document confirming such payment.
Elite Server and the client are collectively referred to as the “parties” and individually as a “party.”

NOTE: Prohibited Clients (Countries, Regions, Entities, and Individuals)
Service purchases, client account creation, support service, affiliate service, chat services are not provided to prohibited clients. Such clients are defined as an entity related to some countries, regions, or individuals that are prohibited by Ukrainian, EU or USA governments and their trade, law, or economic sanctions.

The terms “us,” “we,” “our,” “Elite Server,” “Elite Server LLC,” or “the Company” refer to Elite Server LLC, the owner of this website and the provider of the services offered on it.
Visitor refers to any individual or automated system (such as a bot) that browses our website without being registered as an official “Client” of our services.
Client refers to an individual who has registered on our website, successfully completed a payment, and is actively using our services.
User is a general term that refers to either a visitor browsing our website or a client utilizing our services.
Service refers to any functionality, web hosting product, or supplementary offering provided to support or enhance web hosting technology.
Content refers to any static resource, including but not limited to text, information, graphics, audio, video, or any other form of data.
Account Eligibility:
All services provided by Elite Server are intended for users who are eighteen (18) years of age or older. By purchasing any service from us, you confirm that you are at least eighteen (18) years old. Use of our services by individuals under this age is considered unauthorized and constitutes a violation of our Terms of Service.
If you are using our services on behalf of another party, you represent and warrant that you are authorized to bind that party to our Terms. Should we determine that you lack the legal authority to represent the party, you will be held personally responsible in accordance with our Terms of Service.
You agree and warrant you will provide accurate, current, and complete information required on the order form during the service purchase.
Acceptable Use Policy:
You acknowledge and agree that Elite Server's services may be used only for lawful purposes. It is your responsibility to ensure that both you and your end users comply with all applicable laws, regulations, and rules in connection with the use of our services. Elite Server reserves the right to suspend or remove any content or materials that violate our Terms of Service.
The following types of content and activities are strictly prohibited. You may not use Elite Server's services to store, publish, or facilitate such content or activities, including through links to third-party services:
- Pirate software, warez, torrent trackers, or similar unauthorized file-sharing platforms.
- Phishing schemes or malicious content such as viruses, trojan horses, worms, or other forms of malware.
- Child sexual abuse material (CSAM), including any content involving individuals who are or appear to be under eighteen (18) years of age, or any material that may exploit or harm minors in any way.
- Pornographic content or media depicting bestiality, rape, sexual assault, extreme violence, torture, disfigurement, or any other material deemed offensive or inappropriate at the sole discretion of Elite Server.
- Distribution of illegal drugs, controlled substances, or unauthorized prescription medications.
- Content that promotes or incites violence, terrorism, or hatred toward any individual or group based on race, ethnicity, religion, or other protected characteristics.
- Bulk email, spam campaigns, or email spoofing activities.
- Denial-of-service (DoS) attacks, port scanning, or other forms of network abuse.
- Hacking, cracking, or any activities related to unauthorized system access or security breaches.
- Activities that are criminal in nature, illegal, or that violate any applicable laws or regulations, including those related to third-party intellectual property rights.
- Conduct that may result in corporate, civil, or administrative liability for either you or Elite Server.
- Actions intended to evade payment obligations for the services provided.
- Activities that interfere with, disrupt, or gain unauthorized access to Elite Server’s services, networks, systems, or infrastructure, or those of its clients, partners, or third parties.
- Attempts to access without authorization, compromise, or otherwise violate the security of Elite Server’s (or any third party’s) network, servers, computers, control systems, software, data, or any other component of a computing environment.
You are fully responsible for any liabilities, damages, or obligations arising from your own or your end users’ violation of this section of the Terms of Service.
We reserve the right, at our sole discretion and without prior notice, to block or suspend services, cease data transmission associated with your domain name, permanently remove your data from our infrastructure, or take any other actions we deem necessary to comply with applicable laws and regulations. This may occur if we are informed, or reasonably believe, that you or your end users, or your website:
- Infringe the intellectual property rights of a third party or are the subject of an intellectual property dispute;
- Are using the service in violation of this section of the Terms of Service;
- Are the target of a Distributed Denial of Service (DDoS) attack or any other type of attack that disrupts services provided to other clients.
Additionally, Elite Server does not provide specific backups for content that may be criminal in nature or otherwise stored in violation of our Terms. As such, you, the Client, are solely responsible for implementing appropriate measures to safeguard and back up your data against loss or degradation, regardless of the cause.
Anti-Spam policy:
For the purposes of this policy, spam is defined as any unsolicited or unexpected message received via email or other electronic communication methods through the use of electronic and/or telecommunication networks. The mass transmission or distribution of such messages is considered spam and is strictly prohibited.
By using our website and/or services, the User agrees to the following obligations:
- Not to send spam to recipients who have not explicitly expressed consent to receive such communications.
- Not to offer or promote services that allow third parties to distribute spam.
- To implement and maintain appropriate technical measures to ensure that third parties do not use the services to send spam.
- To follow the opt-in principle for all electronic communications and provide effective mechanisms for recipients to opt out or unsubscribe.
- Not to collect, store, publish, or distribute data (e.g., email addresses) that could be used for the purpose of sending spam.
- Violation of this policy will be considered a serious breach of our Terms. If a User is found to be violating this policy, Elite Server reserves the right to suspend or terminate the provision of services without prior notice.
- If a third party submits a complaint or claim alleging that a Client is engaging in spam-related activity or otherwise violating this policy, Elite Server may request relevant information from the Client. During the investigation of such claims, services may be temporarily limited or suspended at our discretion.
- If you have received spam from one of our customers, please report it to us immediately by emailing info@eliteserverhost.com Kindly include the full content
of the spam message in your report to help us take appropriate action.
Content Moderation and Removal:
Handling and Tracking of Abuse Reports
Abuse reports must be submitted in the proper format and through the appropriate channel. All reports of abuse should be sent to info@eliteserverhost.com The accepted languages for submitting a report are Ukrainian or English and Ukrainian.
Required Information in the Abuse Notice:
- Full name of the sender
- Detailed description of the abuse and how it occurred
- Contact details of the sender or their authorized representative
- Supporting documentation or evidence of the violation (e.g., court decisions, copyright confirmations)
Handling Procedure and Terms:
- Abuse notices are handled in accordance with our ToS, Ukrainian legislation, and applicable international laws.
- If Elite Server receives a valid copyright or related rights infringement notice:
- The notice is forwarded to the Client via email.
- The Client has 24 hours to respond by either:
- Taking the required legal actions and notifying Elite Server.
- Submitting a written refusal.
- If no action is taken within 24 hours, Elite Server may restrict access to the content in question.
- Elite Server will notify both the applicant and the Client of actions taken within 48 hours.

- Only a licensed attorney admitted to the Ukrainian Bar is authorized to submit a valid notice.

Order Processing:
Order Processing and Service Activation
The list of available services, along with their features and pricing, is published on our official website: https://eliteserverhost We will deliver the services you request through a submitted order (“Order”) placed via the website. Elite Server reserves the right to accept or reject any Order at its sole discretion. In the event of any inconsistency between an Order and these Terms of Service, the terms outlined in the Order shall prevail.
Service Activation Timeline
1. Automatic Order Processing:
If the Order is processed automatically, the requested services will be activated immediately upon successful payment and delivery of access credentials to the Client.
2. Human-Assisted Order Processing:
In cases where manual review is required, a moderator will verify the Order and issue access credentials. This verification process may take some time; however, we strive to process it promptly.
If more than 24 hours have passed since payment and the services have not yet been activated, we will initiate the necessary steps—such as reviewing billing data and finalizing setup—to ensure activation.

Fees, Billing and Payments:
It is your responsibility to ensure the timely payment of all applicable fees related to your use of the services, including recurring charges, non-recurring charges, usage-based fees, and any other applicable costs (collectively referred to as “Fees”) as outlined in your Order. Unless otherwise agreed and explicitly stated in the Order, all Fees must be paid in advance for the full duration of the billing term you selected.
Elite Server is under no obligation to provide any services until your payment has been received and confirmed.
Test Periods
Elite Server, at its sole discretion, may offer a free or paid trial period for certain services. Each such trial must be pre-approved by Elite Server and will be clearly specified in the corresponding Order. Trial terms are negotiated on a case-by-case basis.
Pricing Changes
Elite Server reserves the right to modify service pricing and associated fees at any time, with or without notice, depending on internal pricing policies or external market conditions.
Billing Cycles
Recurring Charges: These are invoiced in advance based on the billing frequency selected in your Order (e.g., monthly, quarterly, semi-annually, annually, or bi-annually). Payment must be made before the start of each service term.
Non-Recurring and Usage-Based Charges: Services such as cloud-based solutions and other variable charges will be invoiced in arrears, as specified in your Order.
Internal Account Balance
Clients are solely responsible for managing the balance in their Elite Server internal account. You may replenish your balance manually or enable automatic top-up using your selected payment method. By using our services, you authorize Elite Server to deduct applicable fees or charges from your internal account balance without prior notice.
In some cases, where deduction requires your explicit consent, we will request your approval before proceeding. However, you acknowledge that certain transactions or services may trigger automatic deductions without additional confirmation.
Clients may also configure their accounts to automatically replenish their balance upon reaching a predefined threshold, using the preferred payment method on file. It remains the Client’s responsibility to monitor their internal balance and ensure sufficient funds are available to avoid service disruption due to non-payment.
Pricing:
Price Change Notification
Elite Server is committed to transparency. We will notify all active Clients of any changes in service pricing at least one (1) month in advance. This advance notice allows Clients to review upcoming changes and make informed decisions regarding their service usage or renewal.
Stable Pricing for Paid Services
For services that have been successfully paid for, pricing will remain fixed for the entire duration specified in the corresponding Order. The only exception applies to licenses, which may be subject to change.
License Pricing
The cost of licenses is determined by the number of accounts requested by the Client. We reserve the right to issue invoices for license usage at any time during the billing period. If the Client refuses to accept the updated pricing or fails to pay, Elite Server may cancel the related Order. Upon cancellation, all associated services and pending invoices linked to the Order will also be voided.
Payment Responsibilities and Tax Policy Survival of Payment Obligations
Your obligation to fulfill any outstanding payment responsibilities will survive the termination of this Agreement and any associated Order.
Accepted Payment Methods
Clients may add funds to their account using wire transfer, credit card, PayPal, or any other payment method accepted by Elite Server. Elite Server reserves the right, at its sole discretion, to decline or discontinue the processing of credit card transactions at any time.
Elite Server will not be held liable for any data loss (including files, databases, emails, domain names, etc.) resulting from account suspension or service termination due to failed or incomplete payments.
Responsibility for Account Activity
The Client is fully responsible for all charges and fees incurred on their account. This includes any charges that result from the use, misuse, or unauthorized access of services by third parties using the Client's account—regardless of whether such access was due to the Client's failure to adequately secure login credentials or account access.
Tax Responsibilities
Unless expressly stated otherwise in an Order or published pricing schedule, all European Union (EU), national, federal, state, or local taxes, license fees, and surcharges (collectively referred to as “Taxes”) applicable to the services will be billed separately and are payable by the Client. Clients shall not withhold taxes from payments due to Elite Server.
If a Client claims exemption from any such Taxes, they must provide a valid and current tax exemption certificate. If Elite Server accepts the exemption certificate but a relevant tax authority later disputes it and attempts to collect the Tax, the Client agrees to be fully liable and to indemnify Elite Server for all associated amounts, including:
The disputed taxes
- Any interest or penalties
- Reasonable legal and administrative expenses
- Clients must immediately notify Elite Server if their tax-exempt status changes and must provide updated exemption documentation promptly upon request.
Refund Eligibility
In limited situations defined in the Cancellation and Refund Policy, and provided the Client has not violated any Terms of this Agreement, the Client may request a refund for a qualifying Order. Full details, including eligibility and request procedures, are outlined in the Cancellation and Refund Policy available on our website.
Services Conditions:
The Services offered by Elite Server are subject to the legal and regulatory requirements of applicable jurisdictions. Elite Server reserves the right, at its sole discretion, to not offer or to restrict access to any Service in or from a specific jurisdiction, location, or country if we determine that continuing to provide such Service is not legally permitted or is otherwise inadvisable.
Provision of Licenses
If the issuance of a license requires administrative access to the Client’s services or systems, Elite Server will notify the Client in advance of purchase to ensure transparency and informed consent.
Network modifications and maintenance:
Elite Server reserves the right to update or modify its network, system configurations, or routing infrastructure at any time. We may, at our sole discretion and without liability, alter the features or functionalities of any Service, or replace or upgrade any hardware or software components used in our infrastructure—provided that such changes do not have a material adverse effect on the Service being delivered.
Resource Utilization:
The Client agrees that hardware resources—including but not limited to disk space, CPU, and RAM—are to be used solely for the purpose of web hosting services provided by Elite Server.

Applicable laws and regulations
The Elite Server Terms of Service, or The specific resource capacity and limitations listed on the respective web hosting product pages of our website.
It is the Client’s responsibility to maintain the stable and healthy operation of their hosting environment. The Client must ensure that their service does not generate excessive or abnormal resource usage that negatively impacts other users on a shared infrastructure. Any such activity must be avoided or minimized to a reasonable extent to maintain the overall performance and integrity of the hosting platform.
Governing Law and Disputes Regulation:
This Agreement shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiations between the Parties.
If the Parties are unable to resolve the dispute through negotiations, any controversy, claim, or dispute arising out of or relating to this Agreement—including its formation, interpretation, performance, breach, termination, or invalidity—shall be finally resolved by arbitration at the International Commercial Arbitration Court of the Ukrainian Chamber of Commerce and Industry in accordance with its Rules.
The substantive law of Ukraine shall govern this Agreement. The arbitration shall be conducted by a single arbitrator, with the place of arbitration being Kyiv, Ukraine. The language of the arbitration proceedings shall be English.
Replacement of the Agreement
This Agreement may be replaced by a separate contract mutually agreed upon by the Parties and executed in accordance with the procedure established by the laws of Ukraine. In such an event, this Agreement shall be considered terminated, and no further actions or documents shall be required.
Warranty and limitation of Liability:
Elite Server warrants that it will perform services with reasonable skill and care and in a workmanlike manner, and will use reasonable efforts to restore services in the event of a failure. Elite Server makes no other warranties or guarantees relating to the services, express or implied, under this agreement or otherwise, and expressly disclaims all other warranties or conditions relating to the services, express or implied, including, but not limited to, any implied warranties or conditions of merchantability, satisfactory quality, and/or fitness for a particular purpose.
The Elite Server services are provided on an "AS IS" basis without warranty of any kind, express or implied. You expressly agree that the use of the Elite Server services is at your sole risk. Elite Server does not warrant that the Elite Server services will be uninterrupted or error-free, nor does Elite Server make any warranty as to any results that may be obtained by use of the Elite Server services. No warranty is made by Elite Server regarding any information, services, or products provided through or in connection with this Agreement, and Elite Server hereby expressly disclaims any and all warranties, including without limitation:
Any warranties as to the availability, quality, quantity, or content of services or goods provided to you hereunder, including but not limited to your services and your website. Elite Server does not guarantee that any content, information, software, or other material accessible through the Elite Server services will be free of viruses, "worms", "trojan horses", or other harmful components.
You agree and acknowledge that no representations of any kind have been made to you regarding the potential volume of patronage of your website or any other person’s or entity’s website or webpage.
Limitation of Liability
Under no circumstances shall Elite Server, its directors, employees, partners, suppliers, affiliates, subsidiaries, shareholders, or agents be held liable for any direct or indirect damages of any kind or nature, including but not limited to loss of profits, loss of revenue, cost savings, loss of business, data loss, or data corruption, resulting from your or your end users’ use of our Services, or from any failures, delays, malfunctions, suspensions, network issues, server crashes, software or hardware failures, or the negligence of Elite Server, its employees, subcontractors, contractors, or suppliers.
These limitations shall apply even if Elite Server was advised of the possibility of such damages or if such damages were reasonably foreseeable.
In no event shall Elite Server be liable to you or your end users, under this Agreement or any other agreement, for an amount exceeding the total fees paid for our services during the six (6) months prior to the occurrence of the event giving rise to such liability. This limitation is an aggregate cap on liability.
If applicable law does not allow the exclusion or limitation of incidental or consequential damages, then the above limitation shall apply to the maximum extent permitted by law.
Elite Server does not endorse, guarantee, or warrant any third-party products or services that may be offered or accessed through its platform. Furthermore, Elite Server is not a party to, nor responsible for monitoring, any transaction between you and third-party providers.
By using our Services, you expressly release Elite Server from any and all obligations, liabilities, or claims that exceed the limitations described in this section.
Additional Limitation of Liability
Regardless of the form of action—whether based on contract, warranty, strict liability, or tort (including, without limitation, any form of negligence, whether active or passive)—Elite Server, its directors, employees, partners, suppliers, affiliates, subsidiaries, shareholders, agents, or subcontractors shall not be liable for any of the following, even if advised of their possibility:
- Third-party claims made against the Client or Elite Server arising from a data breach;
- Any delay, loss, damage, or service failure caused by any third-party services, products, or actions—including, but not limited to, issues resulting from computer viruses, worms, sabotage, denial-of-service (DoS) attacks, DNS spoofing, or similar hacking attacks;
- Issues relating to the interoperability or compatibility of specific Client applications with the Services.
Data Responsibility and Hardware Failures
While Elite Server prioritizes the security and integrity of client data, we cannot be held responsible for any data loss resulting from hardware failures when services are managed independently by the client. We maintain robust infrastructure and apply stringent measures to protect data; however, circumstances beyond our direct control may impact hardware performance.
For this reason, we strongly encourage clients to implement and maintain their own backup protocols to mitigate risks associated with unexpected hardware failures, ensuring the highest level of protection for their valuable data.
Indemnification:
You agree to indemnify, defend, and hold Elite Server, along with its affiliates, subsidiaries, employees, directors, officers, and shareholders, harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees), arising from or related to:
- Any personal injury or property damage resulting from the actions of you, your end users, employees, or agents.
Any third-party claim that the content, use, or publication of information and communications transmitted by you or your end users through the Services (“Content”) infringes upon that third party’s rights. This includes, but is not limited to, claims involving:
- Copyright or other intellectual property infringement, Defamation, Distribution of obscene, indecent, offensive, racist, unreasonably violent, threatening, intimidating, or harassing material.
- Your failure to comply with any applicable data protection or data breach laws or regulations.
- Any action by you or your end users that results in Elite Server's mail servers or IP address ranges being listed on spam blocklists (e.g., black hole lists or filtering services). In such cases, you agree to cover the costs of any specialist time and resources required to contact list holders, resolve blacklisting issues, and restore the integrity of Elite Server’s mail infrastructure.
Force Majeure:
Elite Server shall not be held liable for any delay or failure in the performance of any Service or obligation under this Agreement if such delay or failure is caused by events beyond its reasonable control, including but not limited to:
- Fire, flood, earthquake, or other natural disasters;
- Lightning, explosions, war, terrorism, strikes, or embargoes;
- Governmental actions or requirements, civil or military authority;
- Acts of God or nature;
- Inability to obtain materials or transportation;
- Acts or omissions of third-party carriers or suppliers (excluding Elite Server itself);
- Computer viruses, worms, DDoS attacks, DNS spoofing, or other cyberattacks;
- The unavailability or failure of computer hardware, software, servers, or networks through which Elite Server Services are provided;
- Lack of necessary governmental permits, licenses, or authorizations.
- Such circumstances shall not be considered a breach of contract, and Elite Server shall be excused from performance for the duration and extent of such disruption.
Regulatory matters; Compliance with laws:
The Client represents and warrants that all services, products, materials, data, and information used by the Client or its end users in connection with the Services do not, and will not during the term of this Agreement, operate in any way that violates applicable laws or regulations.
The Client is solely responsible for obtaining all necessary licenses, permits, and authorizations, and for ensuring full compliance with any laws or regulations relevant to the use and/or resale of the Services provided by Elite Server.
The Client is solely responsible for the use, publication, and content of any information transmitted through the Services by the Client or its end users while using Elite Server's infrastructure.
The Client agrees to fulfill its obligations under this Agreement in a commercially reasonable, ethical, and professional manner, and in full compliance with all applicable legal requirements. This includes, without limitation:
Adhering to all laws and regulations relating to data privacy, telemarketing, and unethical sales practices (e.g., "slamming"), and Complying with all export control laws and trade restrictions imposed by the governments of Ukraine, the European Union, and the United States, including the prohibition of goods or services to restricted or embargoed countries.
All such compliance shall apply in connection with the Client’s use or resale of Elite Server’s Services.
If any foreign, federal, state, national, or local government, regulatory agency, or court of competent jurisdiction enacts or issues a rule, regulation, law, or order (“Regulatory Change”) that (a) materially increases the cost for Elite Server to provide the Services, or (b) cancels, alters, or overrides any term of this Agreement, then Elite Server reserves the right to modify this Agreement as necessary to:
Comply with the applicable Regulatory Change, or Pass on to the Client any additional charges or fees imposed on Elite Server as a result of the Regulatory Change.
Any such modification will aim to remain consistent with the original intent and purpose of this Agreement.
Client Data
The Client agrees that Elite Server may process personal data (e.g., contact details) provided by the Client in connection with this Agreement (“Client Data”) for the purpose of executing this Agreement and/or for purposes related to the Services and the overall business relationship between the Parties, in accordance with applicable laws and regulations.
The Client confirms that it has obtained all necessary consents from the relevant data subjects to permit such processing.
It is Elite Server’s policy to respect your privacy. Elite Server will not monitor, edit, or disclose any personal information about you or your account, including its contents, without your prior consent, unless Elite Server, in its sole discretion, deems such action necessary to:
comply with legal processes or other legal obligations, including but not limited to responding to civil or criminal subpoenas, search warrants, national security letters, or other lawful requests for information from law enforcement authorities;
protect and defend the rights or property of Elite Server, or those of its officers, agents, affiliates, and licensees; enforce the terms of this Agreement; or protect the interests and security of other Elite Server clients.

INTERNATIONAL CLIENTS UNDERSTAND AND AGREE THAT THE ELITE SERVER SERVICES ARE PROVIDED BY ELITE SERVER IN UKRAINE. YOU FURTHER AGREE THAT THE PERSONAL INFORMATION YOU PROVIDE TO ELITE SERVER MAY BE TRANSFERRED TO AND MAINTAINED IN UKRAINE AND OTHER COUNTRIES, INCLUDING BUT NOT LIMITED TO COUNTRIES IN THE EUROPEAN UNION AND ELSEWHERE. IF YOU DO NOT CONSENT TO THE TRANSFER OF YOUR PERSONAL INFORMATION INTO AND OUT OF UKRAINE, DO NOT ACCEPT THESE TERMS AND CONDITIONS. YOU FURTHER UNDERSTAND AND AGREE THAT, REGARDLESS OF YOUR COUNTRY OF RESIDENCE, ELITE SERVER MAY DISCLOSE PERSONAL INFORMATION ABOUT YOU AND YOUR WEBSITE OR DOMAIN NAMES AS OUTLINED IN THIS SECTION, AND YOU EXPLICITLY WAIVE ANY RIGHTS TO PRIVACY OR PROTECTION OF PERSONAL DATA RELATING TO SUCH INFORMATION TO THE FULLEST EXTENT PERMITTED UNDER NATIONAL AND INTERNATIONAL LAW.
NOTWITHSTANDING ANY PROVISION IN THIS AGREEMENT TO THE CONTRARY, ELITE SERVER RESERVES THE RIGHT (SUBJECT TO APPLICABLE LOCAL LAWS), AT ITS SOLE DISCRETION, TO MONITOR YOUR ACCOUNT—INCLUDING BUT NOT LIMITED TO THE USE OF THE PRIMARY USER ACCOUNT AND ANY SUB-ACCOUNTS—FOR THE PURPOSE OF INVESTIGATING VIOLATIONS OF THIS AGREEMENT OR ASSISTING IN CRIMINAL, CIVIL, ADMINISTRATIVE, OR CORPORATE INVESTIGATIONS.
Notices:
All notices, requests, demands, and other communications required or permitted under this Agreement (“Notices”) shall be in writing and addressed to the Client at the email address provided and maintained as part of its contact information, and to Elite Server at info@eliteserverhost.com or at the postal address: 539 W Commerce St #2351, 539 W Commerce St, Dallas, TX 75208, USA. And 15 Glenmanor Dr, 15 Glenmanor Dr, Brampton, ON L6Z 3Z4, Canada It is the Client's responsibility to promptly notify Elite Server of any change in its contact information. All Notices sent by email shall be considered received when a confirmation of the delivery is received by the sender.
General
Assignment/Subcontracting. Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other, which may not be unreasonably withheld, conditioned, or delayed; except that Elite Server may freely (i) subcontract any of its obligations or (ii) assign its right to receive payments hereunder or this Agreement or any portion thereof. Elite Server may, in its sole discretion, subcontract the provision of a Service or a portion of a Service to third parties or affiliates, provided that the performance of Services by any subcontractor shall not relieve Elite Server of any of its obligations under the Agreement.
Elite Server will provide you with reasonable technical support. You may request support at info@eliteserverhost.com . The detailed description of technical support and other related issues can be found in our Service Level Agreement (SLA) available on the website. We do not provide support for other applications and uses or for your end users. Elite Server’s performance obligations under this Agreement apply solely to you, and not to any end users or other third-parties.
You may resell the Services. Please contact eliteserver.com if you are interested in reselling Services to get the up-to-date terms and conditions.
Publicity Neither Party will publish or use any advertising, sales promotions, press releases, or other publicity which uses the name, logo, trademarks, or service marks of the other Party without the prior written approval of the other Party.
Binding Effect If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect, and such provision will be deemed to be amended to the minimum extent necessary to render it enforceable.
Survival Termination of this Agreement shall not affect either Party's accrued rights or obligations under this Agreement as they exist at the time of termination or any rights or obligations that either expressly or by implication continue after this Agreement has ended.
Remedies Except as may otherwise be provided herein, the assertion by a Party of any right or the obtaining of any remedy hereunder shall not preclude such Party from asserting or obtaining any other right or remedy, at law or in equity, hereunder.
Change of ToS Elite Server reserves the right to change our Terms at any time. If we decide to change our Terms, we will post the updated Terms and indicate the date of revision. All new or revised Terms take effect immediately. If you do not agree to the changes applied to our Terms you shall suspend your Service(s) with us. Your continued use of our website and Services indicates that you have read, understood, and agreed to our Terms.
